Terms
and Conditions for the Provision of Interstate and International Telecommunications
Service
1. Scope of Agreement: Services under this Agreement (“Services”)
are provided by BridgeCom and its affiliates (“BridgeCom”).
This Agreement incorporates by reference the general rules and regulations
contained in tariffs maintained on file by BridgeCom at state regulatory
agencies (the “State Tariffs”), as well as the rates, terms
and conditions contained in the access tariff maintained on file by BridgeCom
at the Federal Communications Commission (“Federal Tariff”).
BridgeCom’s State Tariffs and Federal Tariff are collectively referred
to herein as the “Tariffs”. BridgeCom reserves the right from
time to time to modify or withdraw any Tariff and to revise the rates, terms
and conditions set forth in the Tariffs.
2. Availability of Service: BridgeCom’s obligation to furnish, and
to continue to furnish, the Services is dependent upon its ability to obtain,
retain and maintain access to suitable facilities without unreasonable expense,
to obtain, retain and maintain agreements with one or more network providers,
and its receipt and maintenance of all necessary governmental authorizations.
The Services may be temporarily refused or limited due to limitations in
system capacity or to other circumstances beyond BridgeCom’s control.
The Services may be temporarily interrupted or curtailed due to equipment
modifications, upgrades, relocations or repairs, or similar activities necessary
for the proper or improved provision of the Services. Customer shall hereunder
obtain no property right or interest in the use of any specific type of
facility, service connection, equipment, number, process or code.
3. Payments and Financial Responsibility: Customer assumes responsibility
for and agrees to pay BridgeCom by the due date listed on Customer’s
bill all charges due for the Services, including all applicable usage-sensitive,
monthly recurring and nonrecurring charges set forth herein, in the Tariffs,
as well as associated sales, use, excise and other taxes and other governmental
assessments. Usage-sensitive charges for the Services are billed monthly
in arrears. All other charges are billed monthly in advance. One time charges
are billed upon completion of the associated activity. A late payment charge
of 1.5% per month (or portion thereof), unless otherwise prescribed by law,
will be applied to Customer’s unpaid balance after the due date. In
the event that Customer’s check is returned for insufficient funds,
a $25.00 charge will be assessed. Billing will be deemed to be correct and
binding on Customer unless Customer notifies BridgeCom in writing of a dispute
within thirty (30) days following presentation of the invoice. Disputed
charges must be paid on a timely basis pending resolution of the dispute.
Fraudulent use or other abuse or misuse of the Services shall not be deemed
a valid basis for disputing charges, Customer having assumed full responsibility
for payment of all calls originated at Customer’s number(s), accepted
at Customer’s number(s), billed to Customer’s number(s) via
third party billing, incurred at the request of Customer, placed using a
credit card or debit card issued to Customer, and if Customer has subscribed
to toll free service, placed to or via Customer’s toll-free number(s).
Customer shall reimburse BridgeCom for all amounts expended collecting past-due
accounts, including, without limitation, court costs, attorney’s fees,
and costs of investigation and collection.
IN THE EVENT THAT BRIDGECOM CHANGES ITS RATES, TERMS AND CONDITIONS, CUSTOMER’S
CONTINUED USE OF THE SERVICES AFTER THE EFFECTIVE DATE OF THOSE CHANGES
WILL CONSTITUTE CUSTOMER’S AGREEMENT TO THOSE CHANGES. No notice will
be provided of rate decreases. BridgeCom will post rate increases on its
website and will use commercially reasonable efforts to notify Customer
of significant rate increases by means of bill messages or other notices.
4. DISCLAIMER OF WARRANTIES AND LIMITATION ON LIABILITIES: BRIDGECOM AND
ITS SUPPLIERS MAKE NO WARRANTY, EITHER EXPRESS OR IMPLIED, CONCERNING THE
SERVICES, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY OR
FITNESS FOR A PARTICULAR PURPOSE OR USE. NEITHER BRIDGECOM NOR ITS SUPPLIERS
SHALL BE LIABLE TO CUSTOMER OR ANY THIRD PARTY FOR ANY LOSS, INJURY OR DAMAGE,
OF WHATEVER KIND OR NATURE, RESULTING FROM OR ARISING OUT OF MISTAKES, ACCIDENTS,
ERRORS, OMISSIONS, INTERRUPTIONS, DELAYS OR DEFECTS IN RECEIPT, TRANSMISSION
OR STORAGE OF MESSAGES, SIGNALS OR INFORMATION OCCURING IN THE COURSE OF
FURNISHING THE SERVICES. NEITHER SHALL BRIDGECOM NOR ITS SUPPLIERS BE LIABLE
TO CUSTOMER OR ANY THIRD PARTY FOR ANY DELAY, FAILURE IN PERFORMANCE, CLAIM
OF LOSS, EXPENSE OR DAMAGE DUE TO ANY INABILITY TO SECURE SERVICE, FACILITIES
OR EQUIPMENT FROM SUPPLIERS, ACT OR OMMISSION OF SUPPLIERS, UNAUTHORIZED
USE OF THE SERVICE, FIRE, EXPLOSION, POWER OUTAGE, FIBER OR CABLE CUT, EARTHQUAKE,
FLOOD, STORM, LABOR DISPUTE, EMBARGO, WAR, CIVIL OR MILITARY DISTURBANCE,
ACT OF TERRORISM, GOVERNMENT ACTION OR REQUIREMENT, ACT OF GOD OR NATURE,
OR OTHER CAUSE BEYOND THE CONTROL OF BRIDGECOM. IN NO EVENT SHALL THE LIABILITY
OF BRIDGECOM, IF ANY, TO CUSTOMER OR ANY THIRD PARTY FOR DAMAGES ASSOCIATED
WITH THE ORDERING, INSTALLATION, PROVISIONING, TERMINATION, MAINTENANCE,
REPAIR OR RESTORATION OF THE SERVICES EXCEED THE AMOUNT BRIDGECOM CHARGED
CUSTOMER FOR THE SERVICES DURING THE MONTH IN WHICH THE LOSS, INJURY OR
DAMAGE WAS SUSTAINED. IN NO EVENT SHALL BRIDGECOM OR ITS SUPPLIERS BE LIABLE
TO CUSTOMER OR ANY THIRD PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, RELIANCE,
PUNATIVE OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITIATION, LOST
PROFITS AND LOST SAVINGS, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT,
TORT, STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF THE PROVISION OR INTERRUPTION
OF SERVICE, EVEN IF BRIDGECOM OR ITS SUPPLIERS HAD BEEN ADVISED OF THE POSSIBILITY
OF SUCH DAMAGES.
BridgeCom shall be indemnified, defended and held harmless by Customer and
any authorized users of the Services, jointly and severally, against any
and all loss, claims, demands, suits or other action, or any liability whatsoever,
arising from the use of the Services involving claims for libel, slander,
infringement of patent or copyright, or unauthorized use of any trademark,
trade name or service mark arising out of the material, data, information,
or other content transmitted by BridgeCom; violations of any other literary,
intellectual, artistic, dramatic, or musical right; violations of the right
to privacy; or violations of any other rights whatsoever relating to or
arising from message content or the transmission thereof; abuse of or fraudulent
use of the Services; and all other claims arising out of any act or omission
of Customer or any authorized users of the Services in connection with the
Services. BridgeCom shall not be liable for, and Customer and any authorized
users of the Services shall indemnify and hold BridgeCom harmless from,
all losses, claims, demands, suits or other action, or any liability whatsoever,
whether suffered, made, instituted or asserted by Customer or any third
person, for any personal injury to, or death of, any person, and for any
loss, damage, defacement or destruction of the equipment or premises of
Customer or others, caused or claimed to have been caused directly or indirectly
by the installation, operation, failure to operate, maintenance, removal,
presence, condition, location, or use of equipment or wiring provided by
BridgeCom, when such installation, operation, failure to operate, maintenance,
condition, use or location is not the direct result of BridgeCom’s
gross negligence or willful misconduct.
5. Termination: The Services may be used by Customer only for lawful and
authorized purposes and may not be used for any unlawful or unauthorized
purpose. BridgeCom reserves the right to promptly refuse, limit the use
of, interrupt or terminate the Services without incurring liability and
with or without notice to Customer (i) for failure by Customer to pay amounts
due to BridgeCom in a timely manner, (ii) for provision by Customer of insufficient
or fraudulent billing information, (iii) for Customer's breach of these
terms and conditions or violation of any Tariff or applicable laws, rules
or regulations, including, without limitation, illegal or fraudulent use
or other abuse of the Services, (iv) by reason of an order of a court or
governmental authority, (v) upon institution by or against Customer of any
proceeding for relief under the Bankruptcy Code, the insolvency of Customer
or the appointment of a receiver of Customer's property, or (v) if BridgeCom
deems such refusal necessary to protect itself or third parties against
fraud or to otherwise protect its personnel, agents or services. Termination
of the Services by BridgeCom shall not relieve Customer of its payment obligations
under Section 2.
6. Security Deposit: BridgeCom reserves the right to require a security
deposit from Customer at any time based on its assessment of the credit
and payment history of Customer.
7. Customer Proprietary Network Information. As BridgeCom provides Services
to Customer, BridgeCom develops information about the quantity, technical
configuration, type, destination, amount of Services Customer uses, and
other information found on Customer’s bill (“Customer Proprietary
Network Information” or “CPNI”). Under federal law, Customer
has a right, and BridgeCom has a duty, to protect the confidentiality of
CPNI. In order to allow BridgeCom to serve Customer in the most effective
and efficient manner, Customer agrees that BridgeCom may use or share CPNI
with entities affiliated with BridgeCom for purposes of determining and
offering other BridgeCom products and services that may interest Customer.
Customer permission to use CPNI for this purpose is valid until revoked.
However, if at any time Customer wishes to revoke his permission to allow
BridgeCom to use CPNI for this purpose, Customer may do so by calling 1-800-851-7870.
Denial of approval for BridgeCom to use CPNI will not affect the provision
of any current Services to which Customer subscribes.
8. Miscellaneous: All rights and remedies of BridgeCom herein created or
otherwise existing at law or in equity are cumulative, and the exercise
of one or more rights or remedies shall not be taken to exclude or waive
the right to the exercise of any other. Any failure on the part of BridgeCom
to prosecute or otherwise pursue remedies for any breach or default of any
provision of these terms and conditions of service shall not be construed
as, or constitute, a continuing waiver of such provision, or a waiver of
any other provision hereof. If any provision of these terms and conditions
of service is determined to be invalid or contrary to any existing or future
law, statute or ordinance of any jurisdiction or any order, rule or regulation
of a court or regulatory or other governmental authority of competent jurisdiction,
such invalidity shall not impair the operation of or affect those provisions
in any other jurisdiction or any other provisions hereof which are valid,
and the invalid provisions shall be construed in such manner as shall be
as similar in terms to such invalid provisions as may be possible, consistent
with applicable law.
9. Governing Law: These terms and conditions of service shall be governed
by and construed in accordance with the laws of the State of New York, applicable
to agreements made and to be entirely performed therein. These terms and
conditions of service are subject and subordinate to the Communications
Act of 1934, as amended, and all rules and regulations promulgated thereunder.
INTERSTATE,
DOMESTIC RATES AND CHARGES
BridgeCom’s rates for domestic, interstate long distance services
vary based upon a number of factors, including, among others, the length
of the customer’s service commitment, the customer’s service
volume commitment, and the number and types of products and services utilized
by the customer.
